Business Unit Overview

BlackRock is seeking an Associate to work as part of the Fund Board Governance team based in Luxembourg working mainly on the real asset products.

Working as part of the Fund Board Governance Team, based in London and Dublin, you will report directly to a Vice President of Fund Board Governance in Luxembourg. Key to the role will be to ensure that the highest governance standards are being applied at all times to a range of real asset companies located in different jurisdictions in Europe. Working as part of a team, you will ensure that communications between the Boards and the business operate effectively and to the highest standards and that all applicable governance requirements are met and that standard company secretarial activities are completed in a timely and effective manner. Excellent communication and organisational skills are required as the role requires regular interaction with Board members and with senior executives within BlackRock.

The successful candidate will interact with a wide range of departments within BlackRock Europe to facilitate board reporting in areas such as investment and risk reporting, compliance and operations. The successful candidate will be expected to attend, manage and participate in Board meetings.

Key Responsibilities

  • Provide general company secretarial support (board meetings, minutes, proxies, circular resolutions, AGMs, EGMs, liquidations) for limited partnerships, SICAVs and entities domiciled in various jurisdictions, predominantly in relation to investments in Europe, where close liaison with the asset and development management and finance teams will be required to ensure that decisions are taken according to good company secretarial practice

  • Managing workflows/delegating tasks within the team

  • Assisting with Luxembourg entities as and when required, more specifically in establishing substance requirements and their role as true decision-makers, including reviewing quarterly reports and annual asset plans, and preparing board papers for the physical meetings held in Luxembourg

  • Incorporation of SPVs in various jurisdictions throughout Europe and liaising with service providers to ensure that they are compliant with legal and regulatory requirements

  • Playing an active role in the acquisition and disposal of investments including the collation of company documents for deal closings and acting as a general liaison point with other professionals involved

  • Maintenance of statutory information, including management of the in-house company secretarial software package and updating as necessary.

  • Responding to KYC queries

  • Scanning and filing documentation for all of the entities within the structure

  • Acting as liaison point with auditors, lawyers, providing assistance/responding to general requests for information where necessary

  • Ensuring regulatory filings are adhered to


  • Fluent/ high level of English

  • Qualified Company Secretary is preferred but is not a pre-requisite

  • Excellent minute taking ability requiredICSA qualified (not essential)

  • Experience of the Real Estate Fund industry would be preferred

  • Knowledge of Luxembourg regulatory environment and vehicles

  • Ability to work autonomously on own tasks, whilst working in a team environment

  • Ability to work under pressure with flexibility to adapt to shifting time expectations

  • Highly organized and with excellent personal time management

  • Attention to detail essential and proofing skills

  • Excellent communication skills with the ability to build relationships across the business, operations and suppliers at all levels of management up to and including Board of Director level

  • Ability to make presentations to the boards either in person or by conference phone – speaks clearly and with confidence

  • Familiarity and experience with Blueprint Software is an advantage
