Job Purpose/Background:

The Corporate Team is seeking to recruit a Legal Assistant for an EMEA branch transition project and branch office related activities including corporate filings. The role will involve supporting the Corporate Legal team in creating 12 new branches in EMEA, liaising with local counsel and notaries within each jurisdiction, collating various documents as per the requirements in each jurisdiction, dealing with local commercial registries and dealing with all company and legal queries arising from the creation and transfer of branch business. The candidate is expected to work with a degree of autonomy over time and once familiar with the BlackRock structure and project and report to various stakeholders on progress.

The role may also require from time to time supporting the Corporate Team in administering other entities in the EMEA Group and working with regional teams to ensure local branch corporate filings compliance.

The successful candidate will be based in Budapest and will work closely with the EMEA Corporate team (based in London) of 2 corporate lawyers and 2 Company Secretaries.

Key Responsibilities:

• Lead the incorporation of 11 new branches in EMEA in co-ordination with local counsel

• Understanding the legal and company secretarial requirements in each jurisdiction

• Collate various documents for the incorporation of the 11 branches including director information, financial accounts, constitutional documents

• Deal with notaries locally to ensure execution formalities are dealt with appropriately in each jurisdiction

• Undertake a level of due diligence to ascertain the contractual relationships held by existing branches

• Act as the co-ordinate between internal stakeholders, external local counsel and Legal team

• Comfortable acting in a project management capacity as and when necessary

• Preparing timely and accurate statutory filings to Companies House and other relevant authorities or regulators and maintaining statutory books and records

• Ensuring Blueprint is kept up to date and accurate with corporate information

• Considering whether existing processes should be re-engineered or formulate new processes to deliver efficiencies and ensure best practice

• Supporting with Corporate team in preparation for transactions impacting the UK corporate structure

• Maintaining and developing positive relationships with colleagues in other functional departments such as Finance, Tax and Treasury

• Practical experience of company/corporate law, company administrative experience in a global function in the financial services industry or a global or local law firm

• Experience of working as a legal assistant within an outsourced service provider model desirable but not necessary

• Experience in using company secretarial databases including Blueprint and diligent is desirable


• Self motivated and an ability to execution and deliver against deadlines

• Attention to detail and accuracy critical with good analytical skill

• Excellent drafting and minute writing skills

• Articulate and excellent communications skills both written and verbal

• Highly reliable, collegiate and professional

• An ability to continually review and reassess priorities in response to changing situations and deadlines at relatively short notice
